KEY Distribution Agreement
Terms as a Reseller of Key Branded Clothing and Apparel
By purchasing Key Branded Clothing and Apparel (the “PRODUCTS”) for resale, Key Industries, Inc., a Kansas corporation having its principal place of business at 400 Marble Road, Fort Scott, KS 66701 (“COMPANY”) hereby appoints RESELLER as an AUTHORIZED RESELLER to sell its KEY branded clothing and apparel products .
The COMPANY hereby grants to the RESELLER the nonexclusive limited right to market and sell the PRODUCTS in RESELLER's own retail stores and on RESELLER's own branded internet sites (collectively "RESELLER SITES"). No additional sales outlets, sites or markets (wholesale or retail) are permitted. The RESELLER may sell PRODUCTS only to persons and entities through the RESELLER SITES, again limited to RESELLER's own stores and branded internet sites. No rights to resell PRODUCTS are granted for any third party internet sites or sales platforms. The COMPANY will refuse to sell PRODUCTS to any purchaser who violates these terms of the COMPANY.
